LICENSE AGREEMENT

THIS LICENSE AGREEMENT (“Agreement”) is made and entered into as of the last date set forth on the signature page hereto (“License Effective Date”), by and between Thicket Ventures, LLC., a Delaware limited liability company (“TV” or “Licensor”) and the individual or entity set forth on the signature page attached hereto (“Licensee”). Licensor and Licensee may be referred to in this Agreement collectively as “Parties” or individually as a “Party”. This Agreement is governed by the Terms of Use which are referenced in the last paragraph.

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and in further consideration of the mutual promises set forth herein, the Parties agree as follows:

1. 6 Levers Framework License

Licensor owns certain trademarks, copyrights, methods, trade secrets, software technology and ancillary intellectual property, whether patentable or not, relating to its online platform and training products and services offering known as the “6 Levers” (the “6 Levers Framework”) and is in the business of providing businesses and individuals with access to the 6 Levers Framework (the “TV Business”).

TV desires to license to Licensee, and Licensee desires to license from TV, the 6 Levers Framework, in accordance with the terms and conditions of this Agreement.

2. License Term

The term of this Agreement shall commence on the last date set forth on the signature page attached hereto and continue unless and until terminated in accordance with the Terms of Use.

3. Fees

License Fee. As compensation for access to the 6 Levers Framework provided in this Agreement, Licensee shall sign up for access through TV’s chosen content platform (the “6 Levers Content Platform”) and maintain a monthly subscription to the 6 Levers Content Platform (the “Membership Fee”). The Membership Fee may increase or decrease from time to time upon prior notice from TV to Licensee (each an “Updated Membership Fee”), in TV’s sole discretion, and Licensee’s payment of such Updated Membership Fee shall be deemed an acceptance of such increase or decrease by Licensee as compensation for continued use of the License. Licensee’s use of the 6 Levers Framework as described herein shall be effective so long as Licensee is current on all Membership Fee payments; should Licensee fail to make one (1) or more Membership Fee payments during the Term, this Agreement shall terminate automatically and Licensee’s license to use the 6 Levers Framework is revoked.

Licensee hereby authorizes TV to charge Licensee’s credit card on file at any time or use any other billing information for automatic or ACH payments to ensure prompt payment of the Membership Fee and/or Updated Membership Fee, along with any other fees as may be agreed-upon by the Parties.

4. Delivery and Acceptance

Licensee shall be granted access to the 6 Levers Framework environment and will have the ability to create, update, and delete user accounts during the License Term. No software will be transferred physically or digitally to Licensee.

5. 6 Levers Framework Maintenance

5.1 Licensee’s Remedies for 6 Levers Framework Defects. In all situations involving nonperformance of the 6 Levers Framework, Licensee is entitled to (a) the correction or workaround of 6 Levers Framework errors by Licensor or (b) if, after repeated efforts to resolve the deficiency, Licensor is unable to make the 6 Levers Framework operate as warranted, Licensee shall be entitled to a full refund of the License Fee for the period of nonperformance.

6. Terms of Use

This Agreement, made and entered into as of the Subscription Effective Date between the Parties, is subject to and incorporates by reference the Terms of Use, as amended and set forth on Licensor’s website, and incorporated herein by reference (the “Terms of Use”). All capitalized terms used in this Agreement have the meanings stated in the Terms of Use, unless stated otherwise. By signing this Agreement, Licensee represents and warrants that (a) it and all of its users with access to the 6 Levers Framework, have read, understand, agree to be bound by, and shall execute via click-wrap the Terms of Use on Licensor’s website, and the terms of the Agreement and (b) each has full power and authority to accept the Terms of Use and this Agreement. For the avoidance of doubt Licensee and all transactional users shall be bound by the Terms of Use incorporated by reference herein, and not any other terms of use listed on Licensor’s website.

IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed by their duly authorized corporate officers as of the Effective Date.
